ACC Limited has announced the receipt of observation letters with 'no adverse observations' from BSE Limited and 'no objection' from the National Stock Exchange of India Limited (NSE) on June 04, 2026. These letters are in relation to the proposed Scheme of Amalgamation of ACC Limited with Ambuja Cements Limited, as per Sections 230 to 232 of the Companies Act, 2013. This development follows the Board of Directors' decision on December 22, 2025, to approve the amalgamation scheme. The scheme remains subject to various statutory and regulatory approvals, as well as approvals from the respective shareholders and creditors of both companies. The observation letters received from BSE and NSE will be made available on ACC Limited's website. The scheme is valid for six months from June 04, 2026, within which it must be submitted to the National Company Law Tribunal (NCLT). Both BSE and NSE have provided detailed comments and conditions that need to be complied with, including disclosure of ongoing proceedings, financial information, and promoter shareholding details. The exchanges have also stated that their observations do not absolve the companies from complying with any other applicable regulations.
