Mr. Sen is identified as the Founder of ElevenAds. However, the company states that ElevenAds' day-to-day operations, commercial activities, customer engagements, partnership arrangements, and business development are managed independently by its executive management team. BCG has reviewed the businesses of OMS and ElevenAds and confirmed they operate in distinct segments of the digital ecosystem and cater to different market participants. ElevenAds is described as a technology-focused platform for creator-led advertising, concentrating on technology enablement and infrastructure services for the creator economy. OMS, conversely, is an established digital advertising business serving advertisers, agencies, and publishers through its own commercial relationships and platforms. The revenue streams, customer profiles, commercial objectives, and market focus of the two entities are fundamentally different, and BCG is unaware of any instances where they have competed for the same business. Furthermore, ElevenAds and OMS have separate ownership structures, management teams, governance frameworks, operational responsibilities, customers, and commercial arrangements. No business decisions of OMS are influenced by ElevenAds, nor does ElevenAds participate in OMS's management or operations. The company also confirmed no material transactions or dealings between OMS and ElevenAds that would raise related-party concerns. Based on its review, BCG believes Mr. Sen's association with ElevenAds does not create any actual or potential conflict of interest with his responsibilities at OMS or Brightcom Group Limited. The Board is satisfied that his involvement does not impair his ability to discharge his duties. The company reiterated its commitment to robust corporate governance and transparency.
