This code, framed in accordance with Regulation 8(1) of the SEBI (Prohibition of Insider Trading) Regulations, 2015, ensures timely and adequate disclosure of UPSI to stakeholders, maintaining transparency and preventing misuse. The company's board of directors approved the code on November 4, 2024. The code outlines the company's commitment to prompt and uniform dissemination of UPSI, designating a Chief Investor Relations Officer to manage disclosures. It also details procedures for responding to market rumors and ensures that information shared with analysts is not UPSI. Furthermore, the policy includes provisions for sharing UPSI for legitimate purposes in the ordinary course of business, such as with partners, collaborators, lenders, and advisors. A structured digital database will be maintained to track the sharing of UPSI, with records preserved for at least eight years. The company will also establish inquiry procedures in case of suspected leakage of UPSI.
