India Tourism Development Corporation Limited (ITDC) has provided an update regarding non-compliance observed in its Integrated Governance Report (IGR) filing for the quarter ended December 31, 2025, as per SEBI (LODR) Regulations 2015. The matter was discussed in the ITDC Board meeting held on March 24, 2026. The Board was informed about the non-compliance concerning the minimum number of directors and the requisite number of Independent Directors, including a woman Independent Director, on the ITDC Board. The Board observed that directors are appointed by the Government of India through the Administrative Ministry, indicating no fault on ITDC's part. Consequently, ITDC intends to seek a waiver of the imposed penalties. ITDC is actively following up with the concerned appointing authority for the necessary director appointments. Once compliance is achieved, ITDC will submit a request to the exchange for the waiver of the fine.
