Kiri Industries Limited (KIRIINDUS) has announced the appointment of Mr. Nanubhai Kathiria as an Additional Director in the capacity of Non-Executive Independent Director to its material unlisted subsidiary, Indo Asia Copper Limited (IACL). The decision was approved by the Board of Directors of IACL during their meeting held on March 02, 2026. Mr. Kathiria's appointment is for a period of five years, effective from March 02, 2026, and is subject to the approval of IACL's shareholders. He has confirmed that he is not debarred from holding such an office by any SEBI order or other authority and meets the criteria of independence as prescribed under the Companies Act, 2013. The appointment is in compliance with SEBI Listing Regulations, which mandate the appointment of an Independent Director on the board of an unlisted material subsidiary. Mr. Kathiria brings over 38 years of extensive experience in Company Law, Corporate Laws, Amalgamations & Mergers, Secretarial Audit, IPOs, Intellectual Property Rights, and Project Management. He is a Fellow Member of the Institute of Company Secretaries of India and holds a Bachelor’s degree in Commerce and Legislative Law. He is not related to any Director on the Board of IACL.
