Orbit Exports Limited announced a significant decision following its board meeting on July 7, 2026. The board has approved a buyback of the company's fully paid-up equity shares, with a face value of ₹10 each. The buyback will be conducted through the tender offer route at a price of ₹250 per equity share, payable in cash. The total amount for the buyback is capped at ₹27.60 crore (₹27,60,00,000), excluding associated expenses like brokerage, taxes, and other incidental costs. This buyback size represents 9.88% and 9.16% of the company's aggregate fully paid-up equity share capital and free reserves, based on the latest audited standalone and consolidated financial statements as of March 31, 2026. The number of equity shares to be bought back will not exceed 11,04,000, which is 4.16% of the total equity share capital as of March 31, 2026. The company has set July 15, 2026, as the Record Date to determine the eligibility of shareholders for the buyback. Notably, the promoters and the promoter group have indicated their intention not to participate in this buyback. Saffron Capital Advisors Private Limited has been appointed as the Manager to the Buyback, and a dedicated Buyback Committee has been formed to oversee the process. In addition to the buyback, the board also approved the appointment of Mr. Omprakash Jat as the new Company Secretary & Compliance Officer, effective July 7, 2026. Mr. Jat brings over 2 years of experience in corporate laws, secretarial compliances, and corporate governance.
