Rishabh Instruments Limited (RIL) has announced its 43rd Annual General Meeting (AGM) for the Financial Year 2025-26, scheduled to be held on Friday, July 31, 2026, at 12:00 PM IST. The meeting will be conducted through Video Conferencing (VC) / Other Audio Visual Means (OAVM). The AGM will consider and adopt the Audited Standalone and Consolidated Financial Statements for the Financial Year ended March 31, 2026. A significant agenda item is the declaration of a dividend of ₹2.00 per equity share for the financial year ended March 31, 2026. The Board of Directors had recommended this final dividend on May 18, 2026, and if approved at the AGM, it will be paid on or before August 29, 2026. Key appointments and re-appointments will also be discussed. Mr. Narendra Goliya and Mr. Dineshkumar Musalekar are retiring by rotation and offering themselves for re-appointment as Directors. Furthermore, the company proposes to change the designation of Mr. Dineshkumar Musalekar from Whole-Time Director to Managing Director for a period of five years, commencing from May 18, 2026, to May 17, 2031. The remuneration for Mr. Musalekar as Managing Director for the financial year 2026-27 is also proposed for approval, which includes ₹14,000,000 (1.40 crore) in salary components, along with Euro 42,000 and Euro 36,000 for his roles at Lumel S.A. and Lumel Alucast Sp. Z o.o., respectively, and business class travel. The remuneration of the Cost Auditor for the Financial Year 2026-27, amounting to ₹60,000 plus out-of-pocket expenses, is also slated for ratification. The company has also provided for remote e-voting for all resolutions. The cut-off date for determining eligible shareholders for remote e-voting and dividend entitlement is Friday, July 24, 2026. Remote e-voting will commence on Tuesday, July 28, 2026, at 9:00 AM and conclude on Thursday, July 30, 2026, at 5:00 PM. E-voting will also be available during the AGM.
