Syngene International Limited has announced that its material subsidiary, Syngene Scientific Solutions Limited (SSSL), has received the resignation of its Statutory Auditors, M/s. B S R & Co. LLP. The resignation was tendered via a letter dated July 07, 2026. B S R & Co. LLP stated that they were appointed as the Statutory Auditors of SSSL on July 21, 2023, with their term set to conclude at the 6th Annual General Meeting after the financial year ending March 31, 2028. They have completed their audit for the period ending March 31, 2026, and issued their audit report on April 28, 2026. The auditors cited ongoing discussions regarding their continuation, explaining that management intends to align the auditors with those of the holding company, Syngene International Limited. This alignment is due to the mandatory rotation of B S R & Co. LLP as auditors of the holding company under the Companies Act, 2013. Consequently, they will not be able to continue as statutory auditors for SSSL for the year ending March 31, 2027. The resignation is effective immediately, and B S R & Co. LLP will be forwarding the ADT-3 form to the Registrar of Companies (ROC) in due course.
