Varroc Engineering Limited has announced its investment in renewable energy projects through Power Delivery Agreements and Share Purchase and Shareholder’s Agreements with AMPIN C&I Power Twelve Private Limited and AMPIN Energy C&I One Private Limited. These Special Purpose Vehicles (SPVs) are established for developing renewable power assets in Karnataka and Tamil Nadu. The company will invest up to ₹22,80,000 for 2,28,000 equity shares (0.44%) in AMPIN Energy C&I One Private Limited for Tamil Nadu, and up to ₹25,90,000 for 2,59,000 equity shares (0.83%) in AMPIN C&I Power Twelve Private Limited for Karnataka. These investments aim to secure captive solar power for Varroc's manufacturing facilities in these states. The SPVs will establish renewable power plants with capacities of 0.40 MW AC/0.60 MW DC in Tamil Nadu and 0.50 MW AC/0.70 MW DC in Karnataka. The acquisition is expected to be completed on or before August 30, 2026. The transactions are not related party transactions and are conducted at arm's length.
