Virinchi Limited's board of directors, in a meeting held on July 9, 2026, approved the acquisition of the Primary and Secondary Healthcare Business Division operated under the "Bristlecone Hospitals" brand from its subsidiary, Virinchi Health Care Private Limited (VHCPL). This acquisition, which includes all related assets, liabilities, contracts, and employees, will be conducted on a slump-sale basis and is proposed to be effective from April 1, 2026. The transaction is valued at ₹100 Crores, with loans and advances from Virinchi Limited to VHCPL to be adjusted against the consideration. VHCPL, incorporated in 2013 and based in Telangana, India, is engaged in healthcare services under the Bristlecone Hospitals brand. Its turnover for the last three years was ₹13,314.85 Lakhs, ₹10,414.98 Lakhs, and ₹8,299.05 Lakhs. This strategic move aims to establish a dedicated AI-first healthcare platform, allowing "Bristlecone Hospitals" to focus on tertiary and quaternary care. The company believes this restructuring aligns with long-term industry evolution, enabling disciplined investment in AI, digital operating systems, and scalable delivery models to improve patient outcomes, affordability, and global competitiveness. The acquisition is subject to shareholder approval and other necessary regulatory, statutory, and contractual consents.
