This acquisition will be conducted on a slump-sale basis, encompassing all related assets, liabilities, contracts, employees, and other rights and obligations, effective from April 1, 2026. The transaction is valued at ₹100 Crores. The listed entity, Virinchi Limited, will not be issuing any securities or providing consideration in kind; instead, loans and advances from Virinchi Limited to VHCPL will be adjusted against the consideration. This strategic restructuring aims to establish a dedicated AI-first healthcare platform, allowing "Bristlecone Hospitals" to focus on tertiary and quaternary care. The company believes this move aligns with long-term industry evolution, emphasizing Artificial Intelligence, digital operating systems, and scalable delivery models. The goal is to improve patient outcomes, physician productivity, affordability, and scalability, ultimately positioning Bristlecone Hospitals as a leading AI-enabled community healthcare brand originating from India. The acquisition is subject to shareholder approval and other necessary regulatory, statutory, and contractual consents. The board meeting commenced at 6:30 p.m. and concluded at 7:15 p.m. Additionally, the board approved the Postal Ballot Notice during the meeting.
